Review of the past election actions, AGMs and emails found a lack of clarity:

2021/12/12: bman retires from the Foundation. Anarchy appointed from ranked candidates [should have started a 1 year term]

https://wiki.gentoo.org/wiki/Foundation:Meetings/2022/09 said anarchy & prometheanfire were appointed for a 1 year term.


The bylaws state:
Section 5.7. Vacancies
Any vacancy occurring in the Board of Trustees, including any vacancy created by reason of an increase in the authorized number of Trustees, may be filled by the affirmative vote of a majority of the remaining Trustees though less than a quorum of the Board of Trustees or by a sole remaining director. A director elected to fill a vacancy shall hold office only until the next election of Trustees by the members.


This may need further discussion.

soap was *elected by members* on 2021/09/08. When was his term supposed to end?

Since he wasn't appointed, it should be 2 electoral terms.
1. 2022 didn't have an election, does the lack of election still count?
2. Should soap have been up for re-election in 2023/06, or is he only up in 2023/09?

anarchy was *appointed* on 2021/12/12, again on 2022/09.

anarchy has also seemingly not spoken on IRC in 90+ days, or been on email or bugzilla; reaching out to him to see status

What I take from this is that the 2 year terms of antarus, robbat2, and soap started in 2021 and ended in 2023.

If this information is correct, then their 1 year term started in 2022 and ended in 2023.

tl;dr The terms of all 5 trustees have ended in 2023.

The two "old" trustees prometheanfire and soap have shown up in the 2023 AGM yesterday, so I suggest to appoint them for another 1 year term. This would also establish the (alleged) status that was assumed in the AGM:

What we do about the vacant fifth seat may need further discussion.

I count two yes votes, which is an unanimous vote of the remaining Trustees. Therefore prometheanfire and soap have been appointed as Trustees per Section 5.7 of the Bylaws. They hold office until the next election of Trustees by members (i.e. for one year).

Summary of the current status:
- robbat2 and ulm have been elected by the members in the 2023 election. Their term lasts 2 years, ending in 2025.
- prometheanfire and soap have been appointed by the board. Their term lasts 1 year, ending in 2024.
- One seat is still vacant. There was consensus during the AGM that it should be offered to dilfridge when he gets permission from his employer. (However, no formal vote was taken.)

<@robbat2> for the open seat; if dilfridge will consider applying to his government, I'd like to offer the open trustee seat to him
