This is due to your profile, you are probably using default-1.0 - if you upgrade to default-x86-1.4 (gcc 3.2 etc) then linux-headers is merged as version 2.4.19. So check out /usr/portage/profiles
headers should only be updated when you remerge glibc. In short each gentoo version will be based on a certain headers and glibc version... so it will be somewhat outdated until you do a full gentoo upgrade including recompiling glibc.
this happens on a new gentoo install aswell, installed it on 4.okt 20002 gentoo iso 1.2
Cough, as I said headers versions are assigned per gentoo version. If you do a fresh 1.4 install it uses 2.4.19
