Due to some other problems I tried the latest gentoo-sources-2.4.28-r2, that i still masked. I had no problems with the kernel despite the fact, that poweroff does not work. All services are shut down, also all drives, and the screen tells "power off", but no, the CPU does not halt. Reproducible: Always Steps to Reproduce: 1. poweroff Actual Results: anything is shut down including the hard disks, but not the CPU at last.
check apm is enabled in the kernel. If you still have problems attach your kernel configuration file here.
I will help if you say which suoboptions in APM you enabled. I used to have simmilar issues with older kernels on my laptop and it turned out to be BIOS bug/feature which required specific APM setings in kernel.

Enable CONFIG_APM_REAL_MODE_POWER_OFF and try again.

This is not related to the flag. gentoo-sources-2.4.28-r3 fails with the flag in the same way to power down the CPU. The last output at the console is "Power down.", the drives are powered down and the CPU stays. Works without the flag in gentoo-sources-2.4.26-r14 without problems.
Mind trying vanilla-sources-2.4.28?

It's just what appears when we choose to close it as "upstream".
