Hi all!
The virtualbox-modules-3.0.12 cannot compile on the kernel version 2.6.33 because the header file linux/autoconf.h has been moved to generated/autoconf.h.
This ebuild changes the #include statements on the right files during the src_unpack() function.

If you have to use a bleeding edge kernel go use ~arch packages where it is fixed :)
