I do dual boot: Gentoo and Windows
My hardware (bios) clock is set to local time.
My /etc/localtime is a symbolic link to /usr/share/zoneinfo/Canada/Eastern
In my /etc/conf.d/clock, I have:
CLOCK="local"
CLOCK_SYSTOHC="no"
I have ntp-client running on default runlevel

Each time I boot, I have this message:
One of the files in /etc/{conf.d,init.d} or /etc/rc.conf" has a modification time in the future!"
Strange: I am able to see this warning if I use gensplash and I press F2 to see the verbose mode. If I don't use gensplash, I don't see the warning. 

The problem coming from the modification times of /etc /sys and /proc which are set to the time of boot minus 4 hours.

It seems that /etc/init.d/clock thinks that my hardware clock is set to UTC. After the booting process my system time is corrected ( but not the modification time of /etc /sys and /proc.
I am using baselayout-1.12.0-r1.

I've put a patch into our SVN which touches each file with a future mtime found in depscan.sh which should fix this issue.

Will be in baselayout-1.12.1

I updated to baselayout-1.12.1, but I still have the same problem. I ran dispatch-conf and I had only 4 files to update:
/etc/init.d/net.lo
/etc/init.d/localmount
/etc/conf.d/net.exemple
/etc/conf.d/env_whitelist

If you roll back to 1.38-r1 does the problem disappear? (may require an extra reboot)

this bug started before e2fsprogs 1.39 was in the tree

This should be fixed in baselayout-1.13.0_alpha11
